The filing sequence
Four steps, in this order.
Formation is a sequence, not a menu — each step depends on the one before it. Here is exactly what happens after you pay, and roughly when.
STEP 01
Name clearance
We search the state's business register for conflicts and confirm your name meets that state's naming rules before anything is submitted.
Same business day
STEP 02
Articles filed
We prepare and submit your Articles of Organization to the Secretary of State, with our registered agent address on record if you want it.
1–2 business days
STEP 03
EIN from the IRS
Once the state approves your entity, we apply for your federal Employer Identification Number — the number every US bank will ask for.
2–5 business days
STEP 04
Your document set
Stamped certificate, operating agreement, member resolutions and banking resolution land in your dashboard as signed PDFs.

What the state charges
The fee we don't set.
Every state prices formation differently, and some add a recurring cost that matters more than the filing fee itself. Here are the twelve states people ask about most.
| State | Filing fee | Standard time | Recurring |

Not sure which state? If you live and work in one state, forming there is almost always right — forming in Delaware or Wyoming from elsewhere usually means registering as a foreign LLC back home and paying both.
Before you file
Reasonable questions.
Can I form a US LLC if I don't live in the United States?
Yes. There is no citizenship or residency requirement to own a US LLC. You will need a registered agent with a street address in your formation state, which is included with every plan, and you can obtain an EIN without a Social Security Number — that process takes longer and is handled for you on the Premium plan.
What does a registered agent actually do?
Every state requires your LLC to name a person or company at a physical in-state address who can accept legal notices and state correspondence during business hours. That is the registered agent. We serve as yours, scan anything that arrives, and put it in your dashboard the same day.
Which state should I form in?
Usually the state where you actually operate. Delaware and Wyoming get recommended constantly, but if you run your business from California and form in Wyoming, California still expects you to register as a foreign LLC and pay its fees — so you end up with two filings instead of one. Forming out of state genuinely helps mainly for outside investment or when you have no US operations at all.
How long until I can open a bank account?
You need two things: the state-approved certificate and your EIN. In fast states that is roughly one to two weeks end to end; in slower ones it can run four to six. Expedited state processing shortens the first half, not the IRS half.
Are you a law firm?
No. We are a document filing service. We prepare and submit the forms the state requires and we can explain how the process works, but we cannot give legal advice or tell you which structure is right for your situation. For that, talk to an attorney or a CPA.
What happens after the first year?
Most states require an annual or biennial report, and some charge a franchise tax whether or not you made money. We send you a reminder before every deadline at no cost, on every plan including Basic. Filing those reports through us is optional.
Start with the name.
Type it in, see what your state charges, and file when you're ready. Nothing is submitted until you approve it.

Frequently asked questions
01Is the formation fee a one-time charge?
The package price and the state filing fee are both one-time. The only thing that recurs is registered agent service, which renews at $119 a year after the first year — and you can cancel it and act as your own agent if you have a street address in the state.
02What's the difference between Standard and Premium?
Standard gets you the entity, the EIN and the documents a bank will ask for. Premium adds expedited state processing at no extra charge, obtains an EIN without a US Social Security Number, and files your first annual report. If you're outside the US or in a hurry, that's the one.
03How long will it take to form my LLC?
Two clocks run in sequence: the state approving your filing, then the IRS issuing your EIN. Expedited processing shortens the first, not the second.
04Can I upgrade or add features later?
Yes. Anything not in your package can be added from your dashboard afterwards at the same price shown here. The one exception is expedited processing, which has to be requested before we submit the filing.

Company information
Tell us about the business.
This is what goes on the filing. The state sees your name and, in some states, your stated purpose — so keep the description plain and accurate rather than promotional.
We'll check this against the state register before filing.
Some states print this on the public record and reject vague or regulated wording. Describe the activity, not the ambition.
Used to flag licences your state may require on top of formation.
Your contact information
Where do we send it?
We use this to send order updates and deliver your filed documents. This is your personal contact record — it is not the registered agent address that goes on the public filing.
Enter a valid email address.
Your certificate and EIN letter are delivered here.
Enter a valid phone number.
Every owner is named in the operating agreement, and in some states on the public filing too. Five is the most you can add here — beyond that, we'll take the list by email.
Company address
This is the address that goes on the filing.
- It appears on your filing documents and becomes part of the public record.
- Business mail is delivered straight there — we won't receive or scan it for you.
- Use a physical street address. A PO box will not be accepted for this.
EIN / tax identification number
An EIN is the nine-digit number the IRS assigns to your business. Every US bank will ask for it. We apply for yours electronically once the state approves your entity.
Enter all nine digits.
- A physical street address is required — the IRS will not accept a PO box.
- This address is not made public. It is used only to mail your EIN confirmation letter.
- Keep it deliverable and monitored for at least 90 days.
- Non-US addresses are accepted, but tend to add delay.
